Role description
We are looking for an experienced Board Member with excellent English language skills, as English will be the Company’s working language and the language used in the day-to-day working environment. This is a part-time position, approximately 0.1 FTE. The Board Member will serve at the same level as our Managing Director and Chief Technology Officer (CTO).
As one of three Board Members, you will bring independent judgement to the Company, together with your experience and knowledge of Latvia’s financial services industry.
In addition to providing an independent perspective, the role involves participation in corporate governance, risk oversight and assessment, as well as providing input and constructive challenge in relation to significant business and management decisions.
The successful candidate will be expected to participate actively in the oversight and strategic direction of the Latvian Electronic Money Institution (EMI). As part of the Latvian EMI authorisation process, the candidate will undergo Latvijas Banka’s “fit and proper” assessment and may also be required to engage directly with Latvijas Banka.
Responsibilities
Board Duties
- Participate in Board decisions on strategy, financial position, safeguarding, internal controls, regulatory compliance, outsourcing, operational risk, staffing, technical resources and business continuity
- Exercise due professional care, integrity, loyalty and independent judgement in the interests of the Company
- Share collective responsibility with the other Board members for the sound and prudent management of the institution
Oversight and Challenge
- Review and challenge reporting from the Company’s independent control functions, including the MLRO and CISO / Risk Manager
- Review findings and recommendations of the outsourced internal audit function
- Provide independent challenge on whether the Company’s growth, operations and risk exposure remain supported by adequate governance, controls and resources
- Bring strong knowledge of the Latvian financial market, regulatory environment and local institutions
- Represent the Company before Latvijas Banka and other relevant stakeholders, where required
- Support the development of the Company’s Riga operations, including its local infrastructure and professional partner network
What we are looking for
- Higher education in finance, economics, law, business administration or another relevant field
- At least three years of relevant professional experience in financial services, payments, banking, fintech or another regulated sector
- Strong competence and practical experience in financial and business management
- Board or senior management experience, preferably within a regulated financial institution in Latvia
- Sound understanding of electronic money, payment services, safeguarding, regulatory compliance, risk management and internal controls
- Strong professional standing and network within the Latvian financial sector
- Independent judgement and the ability to provide effective challenge to management and shareholders
- Impeccable professional reputation and ability to satisfy applicable fit and proper requirements
- Professional proficiency in Latvian and English
- Sufficient availability to perform the role effectively, including when material matters require Board attention

We are applying for an Electronic Money Institution licence in Latvia and building two product lines. The first is core banking for merchants - IBAN accounts, payments in and out, and virtual cards. The second is account-to-account payments, where the merchant is our customer and their shoppers pay directly from their own bank account. Our merchant base includes online gaming operators, so this is a high-risk environment run to high standards.
As part of our development into operating an Electronic Money Institution (EMI) in Latvia we will be developing a strong and experienced Management Team based in Riga that is accountable for the Regulated Business and the day to day operational aspects of it.
Therefore, we are seeking highly experienced Senior Professionals, who are able to assume full accountability for Key Management & Control Functions within the Regulated Business, who will also work closely with the Board and the broader European Teams to ensure Authorisation and subsequent Growth of the business.
